ESMA consults on disclosure requirements and updates guidelines and Q&As under the Prospectus Regulation
The European Securities and Markets Authority, ESMA, has released materials to implement changes from the Listing Act under the Prospectus Regulation. The package includes a consultation paper on updated disclosure requirement guidelines, revised Q&As, final reports on guidelines for product supplements, and regulatory technical standards for prospectus summaries. Stakeholders can provide feedback on the disclosure guidelines by November 9, 2026. ESMA anticipates publishing the final disclosure guidelines in the second quarter of 2027. The revised Q&As clarify references and remove outdated content, with an overview available detailing the changes. New guidelines for product supplements offer a consistent framework for assessing new securities and provide market participants with more certainty. These guidelines become effective once translated into all official EU languages. The regulatory technical standards update financial information requirements for prospectuses, aligning them with the revised framework. ESMA has submitted these standards to the European Commission for a decision on adoption.
